こんにちは!塾長のソーキンです。あけましておめでとうございます。皆さんはどのような新年をお迎えになったのでしょうか？お休みでリフレッシュ、心機一転できましたか？目標の高い皆さんのはず、今年もどうぞ夢に向かって邁進して下さい。では、早速、2010年初の英訳塾を開始します。今回は秘密保持契約書の英訳に挑戦して頂きました。塾生さんの回答を見ていきましょう。

【前回宿題−日本語原文】

　　　　　　　　　　

******（以下、｢甲｣という）と株式会社テンナイン・コミュニケーション(以下、｢乙｣という) は、乙が甲の依頼を受けて行う通訳・翻訳業務(以下、｢本件業務｣という) に係る機密保持に関し、次のとおり契約を締結する。

第1条　（定義）

本契約において、秘密情報とは、乙が甲の依頼を受けて行う通訳・翻訳業務に関して、甲が乙に書面その他の記録媒体により開示する一切の情報をいう。

但し、以下の情報は秘密情報に含まれないものとする。

１、甲から乙へ開示された時点で公知であったもの。

２、甲に対して秘密保持義務を負わない第三者から合法的に取得したもの。

第2条　（秘密情報の非開示及び非使用）

１ 乙は、甲から開示された秘密情報を秘密に保持するものとし、甲の文書による同意を得ない

限り、第三者に開示又は漏洩してはならない。

秘密情報は、本件業務遂行のために使用する目的でのみ甲から乙に開示されるものであり、

乙は、甲の文書による同意を得ない限り、他の目的のために秘密情報の使用を行ってはなら

ない。

【読者英訳】

This Nondisclosure Agreement (the “Agreement”) is entered into1 by **** (“Disclosing Party”)2 and Ten-Nine Communications, Inc. (“Receiving Party”) regarding interpretation and translation work done by Receiving Party at the request of Disclosing Party (the “Purpose” 3).

1. Definitions

For this Agreement, “Confidential Information” shall include all documents transmitted, no matter on what medium4, to the Receiving Party by the Disclosing Party for the Purpose.

However, Confidential Information shall not include information that was: (i) publicly known at the time of disclosure5; or (ii) obtained from a third party who was free to disclose it6.

2. Nondisclosure and nonuse of the Confidential Information

(i) Confidential Information shall be8 kept confidential and not disclosed except as requested in writing by the Disclosing Party7 and it shall not be disclosed or leaked to a third party.

(ii) Confidential Information shall8 only be used for the Purpose of this Agreement and shall not, without prior written approval of Disclosing Party, be used for the Receiving Party’s own benefit9.

今回の読者英訳は大変よくできました。文法的には間違いはないと思いますが、表現の選択で原文と意味が少々ずれているところがありますので、気をつけましょう。

1. A and B enter into this agreement またはThis agreement is entered into by A and Bでもいいです。インターネットで検索してみると、どちらのパターンもよく見ます。

2.「以下、「***」という」は(hereinafter referred to as “**”)として訳すことが多いようですが、省略して、(“**”)にすることもよくあります。

3.「本件業務」を“purpose”に訳されたのは素晴らしいと思います。

4. All documents transmitted no matter on what mediumは日本語に戻すと、「どんな媒体で発信される文書でも」或いは「どんな媒体で発信される文書にも関わらず」になり、ちょっと原文とずれている感じがします。また、transmittedよりsupplied, providedのほうが適切ではないかと思います。

5.「甲からへ開示された時点で公的であったもの」についてですが、私の場合、information that was in the public domain at the time it was disclosed by ** to Ten-Nineにしました。受身形をできるだけ避けるべきだとよく言われていることは皆さんご存知だと思いますが、使ったほうがいい場合もあります。ここでは、information と情報の流れの一致性を保つために、** disclosed it to Ten-Nine ではなく、it was disclosed by ** to Ten-Nineにしました。Itを前に持ってくることによって、フォーカスをinformationに保つことができます。

6. a third party who was free to disclose it は契約に縛られていない、秘密保持義務を果たさなくていいという意味が含まれていますが、ここのポイントはクライアントに対してどこまで秘密保持義務を負うか、ということだと思いますので、原文どおりにはっきりとa third party not bound by any obligation of confidentiality towards **またはa third party without any obligation of confidentiality towards **にしたほうがいいのではないかと思います。

7. Except as requested in writing by the Disclosing Partyは正しく原文の意味を反映していませんね。「甲の文書による同意を得ない限り」は決まった訳があり、without the written consent of **にするのが普通のようです。ここで、without a written permission of **に訳す読者の方もいますが、aとtheを間違わないように気をつけましょう。また、この文にはnot disclosedが繰り返されていますね。これは原文を読むときの切り方の問題ではないかと思います。Confidential Information shall be kept confidential, and shall not be disclosed or leaked to a third party except with the written approval of the Disclosing Party に直すのはいかがでしょうか。

8. 2(i) と(ii)の文はconfidential informationが主語になっていますが、この段落は情報をどう扱うかに関する話なので、実際に情報を扱っている側のテンナインを主語にしたほうがいいのではないかと思います。つまり、Receiving Party shall….で文を始めることになります。今のままだと、特定できる関係者ではなく、一般的で誰の話でもいいような印象になってしまいます。

9. Receiving Party’s own benefitだと、「自分の利益」となり、本文の「他の目的」から意味がずれています。ここでは、any other purposeのほうがいいでしょう。

【塾長英訳例】

***** (hereinafter referred to as “**”) and Ten-Nine Communications, Inc. (hereinafter referred to as “Ten-Nine”) enter into this agreement with respect to maintaining the confidentiality of information in connection with interpretation and translation services (hereinafter referred to as “the Services”) provided by Ten-Nine at the request of **.

Article 1 (Definitions)

In this Agreement, Confidential Information shall include all information that ** discloses to Ten-Nine in written and other forms of media in relation to interpretation and translation services provided by Ten-Nine at the request of **.

Confidential Information shall not, however, include information that was:

i. in the public domain at the time it was disclosed by ** to Ten-Nine.

ii. obtained legally from a third party not bound by any obligation of confidentiality towards **.

Article 2 (Non-disclosure and non-use of Confidential Information)

1. Ten-Nine shall hold and maintain the Confidential Information disclosed by ** in strictest confidence, and shall not disclose or divulge any Confidential Information to a third party without the written consent of **.

2. Ten-Nine shall use the Confidential Information disclosed by ** solely for the purpose of carrying out the Services, and shall not use the Confidential Information for any other purpose without the written consent of **.
