XYZ hereby sells to the Company, and the Company hereby purchases from XYZ, all of XYZ’s right, title and interest in and to the Project and the Project’s Technology, free and clear of any lien, charge, claim, license, preemptive right or any other encumbrance or third party right, except for the XYZ License, as provided for under SECTION 7 below and the restrictions on the Company’s use thereof as provided for under SECTION 3.3 below.
◆ on a ~ basis
1. All XYZ and third-party information provided on any XYZ website is provided on an "as is" basis.
2. Licensee agrees to restrict access to Confidential Information to its employees or contractors on a need to know basis and only who have agreed in writing to be bound by a confidentiality obligation which is as protective of Licensor’s interests as this Agreement.
1. The Parties desire to share services and to enter into this Agreement to provide an arms-length basis for determining each Party’s reimbursement obligations for the use of such services.
2. Prior to terminating his employment, Employee signed a promissory note in favor of Employer in the amount of $15,000 plus 4 percent interest per year. The promissory note secured the repayment of a $15,000 loan from Employer to Employee. The promissory note was dated February 15, 2002 and provided for full payment of principal and interest by May 31, 2003
